peppykeep Terms of Service

Change summary: This version establishes procedures for managing version dates, historical versions, and effective dates. It does not make substantive changes to the Terms of Service.

Welcome to peppykeep. These Terms of Service (these “Terms”) are a legal agreement between you and the operator of peppykeep (“we,” “us,” or “our”) governing your use of the peppykeep software, website, APIs, and related services (collectively, the “Service”).

Please read these Terms carefully before using the Service. By installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

For privacy-related processing terms, see the Privacy Policy.


Service Overview

peppykeep is a backup and recovery orchestration tool with the following core capabilities:

  • Local and remote backups for application data and MySQL databases
  • Backup encryption, object-storage uploads, and version history management
  • Data restoration, decryption, and disaster recovery drills
  • Local and remote cleanup based on retention policies

Service model: peppykeep performs backup and restore tasks on your devices or in environments you authorize. You configure and control the long-term storage location for backup files. We do not provide long-term hosted storage for customer backup content.


Accounts and Eligibility

2.1 You must have full legal capacity to use the Service, or use it with authorization from a guardian or organization.
2.2 In an enterprise or team setting, the organization administrator is responsible for account creation, permission assignments, and members’ compliant use.
2.3 You must provide accurate, complete, and current registration and contact information, and promptly update it.
2.4 You are responsible for all activity under your account, including activity performed by people you authorize.


Credentials, Keys, and Customer Data — Important Notice

This section contains key terms. Please read it carefully.

We Do Not Store Your Passwords, Backup Content, or Encryption Keys

peppykeep uses a locally executed, customer-controlled architecture:

Disclosure, Loss, or Irrecoverability — Allocation of Responsibility

We are not liable for any disclosure, loss, corruption, inaccessibility, or irrecoverability of passwords, keys, backup data, or configuration resulting from, including but not limited to:

  • You fail to safeguard configuration, credentials, keys, recovery information, or devices
  • You share keys or configuration with unauthorized persons
  • Your selected storage location or third-party service experiences a failure, accidental deletion, account compromise, or provider incident
  • You perform an incorrect restore, cleanup, deletion, or overwrite operation
  • Your operating system, network, hardware, or container environment fails
  • Force majeure events or events beyond our reasonable control

You understand and agree: you are primarily responsible for backup and key management. We recommend that you retain an independent copy of your private keys, regularly validate your restore workflow, and conduct drills outside the production environment.

Do Not Send Us Sensitive Credentials

Do not send us plaintext passwords, private keys, object-storage secrets, or complete backup packages through support tickets, log uploads, or other channels, unless we have otherwise agreed in writing and there is a lawful basis to do so. If you voluntarily submit them, you assume the associated risk.


Software License and Use Restrictions

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the peppykeep Software and Service as described in the documentation.

Prohibited Conduct

You may not, and may not assist or induce others to:

  1. Decompile, disassemble, reverse engineer, or deobfuscate the Software or Service, or otherwise attempt to obtain source code, algorithms, or underlying implementations, except to the limited extent that applicable law expressly prohibits such restrictions
  2. Bypass, disable, or interfere with license validation, subscription checks, device binding, or other technical protection measures
  3. Copy, modify, create derivative works of, sublicense, rent, sell, or distribute the Software, unless we authorize it in writing
  4. Use the Service for unlawful, infringing, malicious, or harmful activity
  5. Conduct unauthorized scanning, load testing, or attacks against the Service or related infrastructure
  6. Remove or alter copyright notices, trademarks, or proprietary markings in the Software

If you violate this section’s restrictions on decompilation, disassembly, reverse engineering, or circumvention of technical protection measures, we reserve the right to pursue legal remedies, including immediate termination of the Service, damages, and injunctive or other relief from a court or authority with jurisdiction. See “Governing Law and Dispute Resolution” for the applicable jurisdiction and remedies.


Your Responsibilities

When using peppykeep, you must:

  • Ensure that you have lawful authorization for backup sources, backup destinations, related systems, and data, and comply with applicable data protection, export control, and industry regulations
  • Establish and maintain backup scope, execution policies, version retention, storage locations, access controls, and cleanup rules appropriate to your business needs
  • After configuration or policy changes, verify the effective configuration and job results to prevent incomplete backups caused by misconfiguration, omissions, or unassessed changes
  • Safeguard account credentials, access credentials, encryption keys, and information needed for recovery, and restrict access to them
  • Maintain an executable restore workflow, regularly confirm that backups are accessible, decryptable, and recoverable, and record the verification results
  • Isolate restore drills from production, using separate restore destinations, test data, or controlled copies to avoid overwriting, modifying, or disrupting production data
  • Before deleting, overwriting, migrating, or changing retention rules or taking other actions that could affect data availability, confirm the scope, impact, and recoverability

Prohibited Conduct

You may not use the Service to:

  • Process, back up, transfer, or store unlawful, infringing, fraudulent, malicious software, or other prohibited content
  • Access, process, or disclose another person’s data without authorization
  • Interfere with, disrupt, or compromise the security, availability, or integrity of the Service, third-party systems, networks, or data
  • Use the Service to conduct unauthorized scanning, attacks, intrusions, load testing, or other abusive activity
  • Use the Service for activity that violates applicable law or infringes the lawful rights of others
  • Assist, induce, or allow others to engage in any of the foregoing

If we reasonably determine that you have violated this section, we may, based on the level of risk, issue a warning, restrict functionality, suspend access, or terminate the Service, and cooperate with relevant investigations to the extent permitted or required by law.


Third-Party Services

You may configure third-party services or resources. Those third parties are governed by their own terms and privacy policies. We perform transfers and orchestration only as you instruct and are not responsible for the availability, security, or data incidents of third-party services or resources. You must evaluate and configure the applicable credentials and permissions yourself.


Subscriptions, Billing, and Trials

If you use a paid plan or subscription feature:

  • Fees, billing periods, and refund terms are governed by the order or supplemental terms presented at purchase
  • Late payment may result in feature restrictions or suspension of the Service
  • We will provide advance notice of price changes where required by applicable law

The product determines which features are free and which require payment.


Intellectual Property

The Software, documentation, interfaces, trademarks, and logos in the Service are owned by us or our licensors. These Terms do not transfer any intellectual property rights to you; they grant only the limited license described in “License Grant”.

You retain ownership of your backup content, configuration, and materials you upload. You grant us only the limited right to process them as necessary to provide, maintain, and improve the Service.


Disclaimers

To the maximum extent permitted by law:

  • The Service is provided on an “AS IS” and “AS AVAILABLE” basis
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that backup or restore results will always meet your specific business objectives
  • You assume the risk of selecting backup strategies, retention rules, encryption approaches, and restore destinations

This disclaimer does not affect consumer rights that cannot be disclaimed by law.


Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, or business interruption
  • For any claim arising out of or relating to your use of the Service or these Terms, our aggregate monetary liability will not exceed the fees you actually paid us for the relevant Service during the six (6) months before the event giving rise to the claim
  • If you paid no fees for the relevant Service, including where you used only free features, we have no monetary liability

This section does not limit or exclude liability that cannot be limited or excluded by law, including liability resulting from our willful misconduct or gross negligence and non-waivable consumer rights granted by applicable law.

The exclusions and limitations in “Credentials, Keys, and Customer Data — Important Notice” and “Prohibited Conduct” apply together with this section to the extent permitted by applicable law.


Indemnification

You will indemnify, defend, and hold us harmless from claims, losses, and expenses, including reasonable attorneys’ fees, arising from:

  • Your breach of these Terms
  • Your use of the Service infringes a third party’s rights
  • Disputes arising from backup content or destination environments you configure, unless caused by our gross negligence

Termination

13.1 You may stop using and uninstall the Software at any time.
13.2 We may suspend or terminate the Service if you breach these Terms, as required by law, or due to business changes; we may terminate immediately for material breaches, including reverse engineering or circumvention of protections.
13.3 Upon termination, your license ends. You remain responsible for backups and configuration within your control. “Credentials, Keys, and Customer Data — Important Notice”, “Prohibited Conduct”, “Disclaimers”, “Limitation of Liability”, “Indemnification”, and other provisions that by their nature or law should survive will remain in effect after termination.


Changes to These Terms

We may update these Terms. For general revisions, we will update and publish the date at the beginning of this document. We will provide notice of material changes through a website notice, in-app notification, email, or other appropriate means. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms; if you do not agree, you must stop using the Service.


Governing Law and Dispute Resolution

15.1 These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.
15.2 The parties will first attempt in good faith to resolve disputes arising from these Terms through consultation. If they cannot do so, the dispute will be submitted to the designated arbitration institution located in the State of Delaware and resolved in accordance with its then-effective arbitration rules.

(Before commercial release, legal counsel must confirm the designated arbitration institution, arbitration rules, and related provisions.)


General Terms

  • Entire Agreement: These Terms, the Privacy Policy, orders, and written supplemental terms constitute the entire agreement
  • Severability: If any provision is invalid, the remaining provisions remain effective
  • No Waiver: Failure to exercise a right does not constitute a waiver
  • Assignment: You may not assign your rights or obligations under these Terms without our consent; we may assign them in connection with a merger, acquisition, or similar transaction

Change summary: This page has been consolidated into a privacy policy for personal information processing and separated from the service-boundary and liability provisions in the Terms of Service. It must be reviewed by legal counsel before formal publication.

This Privacy Policy explains how PeppyKeep collects, uses, shares, retains, and protects personal information when providing its software, website, APIs, Help Center, and support services. This Policy does not replace privacy notices issued by your organization as a data controller or alter the privacy practices of third-party storage providers or other external services.

Scope

This Policy applies when you access or use the PeppyKeep website, Help Center, software, APIs, support channels, and related services. For enterprise and team customers, the customer may determine the purposes and means of processing backup content; in that case, PeppyKeep generally provides technical processing services under the customer’s instructions.

Information We Process

Account and Contact Information

This may include your name, email address, organization name, account identifier, sign-in information, subscription or order information, and support requests and communications you voluntarily submit.

Device and Technical Information

This may include operating system, software version, device identifiers, IP address, language, time zone, network connection information, error logs, diagnostic information, and security incident records.

Usage and Operational Information

This may include feature-usage records, backup job status, configuration changes, command results, restore-drill results, timestamps, and performance metrics. We process this information only as needed to provide, maintain, protect, and improve the Service.

Customer Content and Backup Data

PeppyKeep primarily serves as a backup execution and transfer-orchestration tool. Users select and manage their backup destinations, and the Software itself does not provide long-term hosted storage for customer backup content. For files, databases, configuration, or other content processed through the Software, we perform only the reading, encryption, transfer, restoration, or verification necessary to follow instructions from you or your organization.

Website and Support Information

This may include pages visited, referral sources, browser information, information from cookies or similar technologies, and information you provide through email, support tickets, or other support channels.

Sources of Information

Information may come from content you submit directly, information generated when you use the Software or website, information provided by your organization or administrator, third-party services you authorize us to connect to, and service providers that support security, payments, hosting, analytics, or support.

How We Use Information

We may use information to:

  • Create and manage accounts and provide the Software, website, APIs, and customer support;
  • Perform backup, transfer, restore, verification, and diagnostic operations;
  • Process orders, subscriptions, payments, and customer service requests;
  • Monitor performance, troubleshoot issues, maintain security, and prevent abuse;
  • Analyze and improve the product, documentation, and service experience;
  • Comply with legal obligations, enforce agreements, and protect legal rights;
  • Send service notices or product communications after obtaining any required authorization.

Processing Roles and Third-Party Services

In an enterprise or team setting, the customer generally determines the purposes and means of processing customer content, and PeppyKeep provides processing services under the customer’s instructions. For account administration, the website, support, payments, infrastructure, security, and analytics, PeppyKeep may act as a data controller or service provider depending on the specific activity.

Users may independently select and configure backup destinations or other third-party services. Those third-party services are responsible for their own availability, security, retention periods, data processing, and privacy practices. Before authorizing them, users should review and accept the applicable terms of service and privacy policies.

We do not sell personal information. We may disclose the minimum necessary information to service providers that provide infrastructure, payments, customer support, security, analytics, or other necessary services on our behalf, and require them to meet confidentiality and data protection obligations.

Cookies and Similar Technologies

We may use necessary cookies or local-storage technologies to retain sign-in status, language preferences, theme settings, security settings, and service preferences. We will obtain any consent required by applicable law for non-essential technologies. You may also manage these technologies through your browser settings, although doing so may affect some features.

Retention and Deletion

We retain information for as long as necessary to fulfill the purposes described in this Policy, meet legal obligations, resolve disputes, and enforce agreements. Retention periods depend on the type of information, processing purpose, customer instructions, legal requirements, and security needs.

PeppyKeep does not determine or guarantee retention periods for third-party backup destinations. Users must manage backup content, access permissions, version retention, and deletion policies in third-party storage themselves.

Information Security

We use reasonable technical and organizational measures to protect personal information, including access controls, permission management, protection in transit, log auditing, and security incident response. No internet transmission or information system can be guaranteed to be absolutely secure. Users should also safeguard their account credentials, keys, recovery codes, and third-party storage permissions.

Cross-Border Processing

Depending on service deployment, customer choices, and provider locations, information may be processed outside your jurisdiction. Where cross-border transfers are involved, we will implement the contractual, technical, or organizational measures required by applicable law.

Children’s Information

The Service is not directed to children below the age specified by applicable law. If you believe we have processed a child’s information without the required authorization, please notify us using the contact information in this Policy.

Your Rights

Under applicable law, you may have the right to request access to, correction, deletion, copying of, restriction of, or objection to the processing of your personal information. You may also have the right to withdraw consent or lodge a complaint with a regulator. For requests concerning customer content controlled by an enterprise or team customer, you should first contact your organization; we will assist in accordance with customer instructions and applicable law.

Changes to This Policy

We may update this Policy in response to business, technical, legal, or regulatory requirements. For general revisions, we will update the version and date on this page. We will provide notice of material changes through a website notice, in-app notification, email, or other appropriate means, and obtain any consent required by applicable law.
